By accessing or using Rosedale's services, website, or any related applications (collectively, the "Services"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Services.

2. Description of Services

Rosedale provides AI operations consulting and implementation services, including but not limited to AI strategy development, custom AI tool building, data infrastructure services, and ongoing AI system maintenance. The specific services provided to you will be outlined in a separate service agreement.

3. Use of Services

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Services in any way that violates applicable laws or regulations
• Attempt to gain unauthorized access to any part of the Services
• Interfere with or disrupt the integrity or performance of the Services
• Use the Services to transmit harmful code or malicious software
• Reproduce, duplicate, copy, sell, or resell any portion of the Services without express written permission

4. Intellectual Property

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, and software, are owned by Rosedale or its licensors and are protected by intellectual property laws. Custom solutions developed for clients are subject to the terms outlined in individual service agreements.

5. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of our engagement. This includes, but is not limited to, business strategies, technical specifications, and client data.

6. Limitation of Liability

To the maximum extent permitted by law, Rosedale shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of our Services.

7. Disclaimer of Warranties

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

8. Termination

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Delaware.

10. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. Your continued use of the Services after such changes constitutes acceptance of the new Terms.
